Meir A. Fuchs

Meir A. Fuchs is a partner at GKL. He specializes in Corporate and Securities Law, Technology Law (Hi Tech, Bio Tech), Private International Law, and cross border litigation.
Meir was born in 1955, in Transylvania, Rumania. Meir made "Aliya" (emigrated) to Israel in 1959, and after living in Israel for seven years the family moved to the U.S., where he lived in Manhattan for eighteen years, studying and working. Meir returned to Israel in 1984. Meir completed his apprenticeship at the firm of Herzog, Fox Ne'eman. Subsequently, Meir worked for over five years as an associate at Caspi & Co., representing entities such as Egged, Dan, Avis-Israel. Meir has been deeply involved in the hi-tech and life science fields since the mid-'90s, representing, among others, a New York based underwriter on a number of Initial and Follow-On Public Offerings of Israeli companies on the NASDAQ (Magal, Nur, Eltek) as well as numerous private offerings. Meir has worked in close collaboration with patent attorneys advising their clients on licensing and corporate matters and assisting such clients to commercialize their intellectual property. Meir also worked closely with start-up and mature bio-tech and medical instrumentation companies, accompanying them from their establishment, through their financing rounds and clinical trials. Meir holds a J.D (Cum Laude) (1983) from Cardozo Faculty of Law of Yeshiva University, USA, where he was a member of the Law Review. Additional education of Meir A. Meir was admitted to the New York Bar in 1984 and the Israel Bar Association in 1986. Meir acted as special appointee of the Israeli Minister of Defense in certain security related matters. He re-established the Columbia University Alumni Organization in Israel and served as its President between 1999 and 2003. During 1998-2003 Meir served as legal counsel, pro-bono, to Yad Davids, a non-profit organization devoted to assisting destitute Dutch Holocaust survivors who are living in Israel. Meir speaks Hebrew, English, French and Hungarian. Publications of Meir A. REPRESENTATIVE CLIENTS AND TRANSACTIONS: SECURITIES AND PUBLIC OFFERINGS: Initial Public Offerings and Follow-On Offerings of various Israeli companies on the NASDAQ - provided advice to U.S underwriter as to the Israeli law relating to all the above offerings and assisted U.S. counsel to the underwriter in performance of the “due diligence” examinations. In addition, performed legal work relating to private offerings, establishment of a venture fund, bridge loans, warrant agreements, stock and asset purchase transactions, supervised on behalf of the underwriter, company submissions of 20-F filings. MERGERS AND ACQUISITIONS: Advised and handled the negotiations toward the closing of an investment of $10,000,000 the U.S. based OrbiMed venture fund into an Israeli medical device company. Share swap transaction between a privately held Delaware company and a public U.S. company, both dealing in medical devices, whereby the Israeli promoter who I represented acquired a substantial interest in the public company. Provided advice as to the execution of a "Reverse Triangular Merger" for the purpose of achieving a reorganization plan of a group of company having a base in Israel. Advised, coordinated and executed take-over of the controlling interest by a foreign company in an Israeli company traded on NASDAQ. As an associate at on of Israel's leading law firms participated in the legal team guiding the purchase of a 50% stake in a car rental company holding an international franchise, and two years later in the acquisition of complete control. Established complete corporate legal structure of the franchisee and drafted all agreements which form the legal basis for the operation of the company. INTERNATIONAL CORPORATE TRANSACTIONS: Counseled a European consortium on the processes for filing a tender bid application for operating the Ben Gurion Airport audio and video Duty Free shops. Counseled a large Belgian textile manufacturer on the purchase of the Dimona Textile plant from the receiver appointed by the court. Served as counsel to an Israeli engineering company on various international transactions. LITIGATION: While initiating speedy and vigorous legal action succeeded in recovering $1.7M out of $2.25M loss, for a U.S. bank which was defrauded by an Israel businessman. Handles on behalf of American and European clients a wide range of litigation files, including large scale debt collection, temporary restraining orders, protection of delivered goods from confiscation by liquidators and receivers, manufacturer-distributor issues and relationships (from both sides of the fence). REAL ESTATE: Drafted and executed all of the agreements for the transfer of real estate assets between affiliated companies in order to create the necessary legal infrastructure for the initial public offering of the transferee company, which was performed immediately thereafter. Served as the legal advisor to an American real estate expert who purchased various assets in Israel with a view to obtaining a long term solid income flow, by purchasing land with very long term leases (gas stations). Handled in the first half of 2011, apartment transactions in sum exceeding 13,000,000 NIS. SEMINARS AND PUBLICATIONS: Organized and lectured at a seminar held at the Rehvot/Nes Ziyona Science Park entitiled "Cures for Humanity" – From Invention to Commercialization", with the participation of leading professionals from the industry. Organized and lectured at a seminar held at the Rehovot/Nes Ziyona Science Park, on the subject of: “The Protection, Financing and Commercialization of Intellectual Property in the Life Science Field” with the participation of the mayors of Ness-Ziona and Rehovot, the Export Institute and leading CPA and law firms as well as patent attroneys. Organized a seminar in cooperation with a leading Israeli law firm, which was attended by 140 people. Lecturers included prominent law and accountantship specialists.
